Update on Options
ImpediMed Limited (ASX: IPD) (ImpediMed or the Company) refers to its equity capital raising
transaction announced on 4 May 2026, which included an issue of options (the Attaching
Options and Follow-On Options) to participants in the capital raising and its update to
shareholders on the quotation status of those options on 26 June 2026.
Engagement with ASX
As outlined in the prospectus for the capital raising dated 4 May 2026 and the related notice of
EGM dated 13 May 2026, the Company applied to ASX to have both the Attaching Options and
the Follow-On Options quoted on the ASX. ASX approved quotation of the Attaching Options on
18 June 2026, which options are tradeable on the ASX under ASX code IPDO. ASX determined
not to quote the Follow-On Options, which options can be transferred via off-market trade.
Following ASX's determination, the Company engaged with ASX to explore potential
enhancements to the current option structure but following that engagement and careful
consideration of potential alternatives, the Company has determined not to pursue any changes
to the quotation status of the Attaching Options and Follow-On Options or otherwise seek to
implement an alternative option structure. In making that determination, the Board assessed a
number of potential alternatives, each of which would have required considerable resources to
pursue and none of which presented a certain pathway to implementation, and took into account
the expiry of the Attaching Options on 31 March 2027.
Having regard to these matters, the Company has determined to continue administering the
Attaching Options and Follow-On Options in accordance with their existing terms and conditions
and quotation status.
Option terms
Investors should refer to the prospectus dated 4 May 2026 for the complete terms of the
Attaching Options and Follow-On Options. In particular, the prospectus outlines that:
Page | 2
• the Attaching Options and Follow-On Options are not stapled;
• purchasing an Attaching Option does not carry an entitlement to a Follow-On Option,
such that each must be acquired independently; and
• an Attaching Option may be exercised regardless of whether the holder holds a Follow-
On Option; however, a holder of Follow-On Options may exercise those options only if
they have exercised at least that number of Attaching Options.
If a holder of an Attaching Option or a Follow-On Option is uncertain about how the options
operate or apply to their circumstances, the Company recommends that such holder should
seek independent professional advice.
